Nationsbest Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and Nationsbest ("Nationsbest," "we," "us") governing your use of the Nationsbest Core Platform, including the website, installable web app, marketplace, content tools, wallet, ICON cards and related services (together, the "Platform").
1. Who may use the Platform
1.1 Minimum age. You must be at least 13 years old to create an account. We do not knowingly collect personal information from children under 13; if we learn that we have, we delete it.
1.2 Users under 18. If you are 13–17, your account must be linked to a verified parent or legal guardian ("Guardian"). Your Guardian must accept these Terms and the Guardian Consent Agreement on your behalf, must co-sign every NIL agreement you enter, and is the owner of any payout account. Certain features (public profile, payouts, messaging with brands) are unavailable until your Guardian has been verified.
1.3 United States only. The Platform is offered only to persons located in the United States. You represent that you are located in the United States when you use it.
1.4 Organizations. If you use the Platform on behalf of a brand, school, collective or other organization, you represent that you have authority to bind that organization, and "you" includes it. Organizations are additionally bound by the Brand & Organization Terms.
2. What Nationsbest is — and is not
2.1 Neutral marketplace. Nationsbest provides a venue where brands publish name, image and likeness ("NIL") opportunities and athletes may accept them. Nationsbest is not a party to any NIL agreement between an athlete and a brand, does not negotiate terms on anyone's behalf, does not guarantee any opportunity, payment or outcome, and does not act as an agent, marketing representative, financial advisor, tax advisor or attorney for any user.
2.2 Not an athlete agent. Nationsbest does not recruit or solicit athletes to enter agency contracts and does not represent athletes for compensation. Nationsbest charges brands a disclosed flat platform fee on completed deals; it does not take a percentage as an agent.
2.3 Eligibility is your responsibility. NIL activity may affect your eligibility under NCAA, conference, state high-school association, or state law rules, which change frequently. The compliance information on the Platform is provided for convenience, may be out of date, and is not legal advice. You are responsible for confirming your own eligibility and for making any disclosures your school, association or state requires.
3. Your account
You must provide accurate information, keep your password confidential, and enable multi-factor authentication when required. You are responsible for activity under your account. Notify us immediately at security@nationsbest.dev of any unauthorized use. We may suspend or terminate accounts that violate these Terms, the Community Guidelines, or applicable law.
4. NIL agreements on the Platform
4.1 Formation. When an athlete accepts an offer, the Platform generates a NIL License Agreement from the brand's offer terms. It becomes effective only when every required party has signed electronically: the athlete, the athlete's Guardian (if under 18), and the brand.
4.2 Electronic signatures. You consent to sign and receive documents electronically under the U.S. E-SIGN Act and applicable state UETA laws. We keep a tamper-evident record of each signature (document hash, signer, time, IP address).
4.3 Minors. Agreements signed by minors may be voidable under state law. Brands acknowledge this risk in the Brand & Organization Terms. Guardian co-signature binds the Guardian to the Guardian's own obligations and represents the Guardian's consent; it does not waive protections the law gives the minor.
4.4 Prohibited categories. Offers in the following categories are not permitted on the Platform: alcohol, tobacco and vaping products, gambling and sports betting, cannabis and controlled substances, adult entertainment, weapons and firearms, banned or performance-enhancing substances, prescription drugs, and (for athletes under 18) political or social-issue advocacy. Additional categories may be blocked based on the athlete's state or association.
4.5 Disclosure of sponsored content. Every sponsored post must carry a clear and conspicuous disclosure (for example, "#ad" or "Paid partnership with [Brand]") as required by the FTC Endorsement Guides. The Platform specifies the required disclosure text in each deliverable; failing to include it is a breach of the NIL License Agreement.
5. Payments and wallet
Payments are processed by Stripe under the Payout Terms and Stripe's Connected Account Agreement. Balances shown in your wallet reflect our ledger records. Nationsbest may hold funds in escrow until deliverables are approved. Fees are disclosed before you accept an offer. Tax reporting is described in the Payout Terms.
6. Content you upload
You keep ownership of photos, videos and text you upload. You grant Nationsbest a non-exclusive, worldwide, royalty-free license to host, process, display and transmit that content as needed to operate the Platform and, for content you mark public, to display your public profile and ICON card. You represent that you have all rights needed, including the rights of any other person shown. You may not upload content that violates the Community Guidelines. We may remove content and report unlawful material to authorities, including the National Center for Missing & Exploited Children where required by law.
7. Intellectual property
The Platform, ICON card designs, Nationsbest marks and software are owned by Nationsbest or its licensors. School, team, league and brand marks belong to their owners; you may not use them without permission. Our DMCA Policy explains how to report infringement.
8. Privacy
Our Privacy Policy and, for users under 18, the Minor Privacy Notice explain what we collect and why. We do not sell personal information and do not serve targeted advertising to anyone under 18.
9. Acceptable use
You will not: violate any law or third-party right; misrepresent your age, identity or eligibility; circumvent security or age controls; scrape or bulk-download data; harass, threaten or exploit any user; attempt to contact a minor outside the Platform; or use the Platform to induce enrollment at or transfer to any school.
10. Disclaimers
The Platform is provided "as is" and "as available." To the fullest extent permitted by law, Nationsbest disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement, and makes no warranty about the accuracy of compliance information or the conduct of any brand, athlete or school.
11. Limitation of liability
To the fullest extent permitted by law, Nationsbest will not be liable for indirect, incidental, special, consequential or punitive damages, or lost profits or revenue, arising from your use of the Platform. Our total liability for any claim will not exceed the greater of $100 or the platform fees we received on the transaction giving rise to the claim in the 12 months before the claim. Some states do not allow these limitations; in those states our liability is limited to the extent permitted.
12. Dispute resolution — PLEASE READ
12.1 Informal resolution first. Before filing a claim, you agree to email legal@nationsbest.dev with a description of the dispute and give us 60 days to resolve it.
12.2 Binding arbitration. Any dispute not resolved informally will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court, except that either party may bring individual claims in small-claims court. The arbitrator, not a court, decides all questions about the scope and enforceability of this Section (delegation clause).
12.3 Class action waiver. Claims may be brought only in an individual capacity, not as a plaintiff or class member in any class, consolidated or representative proceeding.
12.4 Opt-out. You may opt out of arbitration by emailing legal@nationsbest.dev within 30 days of first accepting these Terms with your name and account email.
12.5 Minors. If you are under 18, your Guardian accepts this Section on your behalf as permitted by law.
13. Governing law
These Terms are governed by the laws of the State of Delaware and applicable U.S. federal law, without regard to conflict-of-law rules, except that state consumer-protection laws of your state of residence apply where they cannot be waived.
14. Changes
We may update these Terms. Material changes require your renewed acceptance before continued use. Continued use after non-material changes constitutes acceptance.
